Agreement

THIS AGREEMENT (“Agreement”) is made on <Date> (“Effective Date”), between Calecim Cosmeceuticals Pte Ltd, having an address at 137 Market Street, Unit 08-02, Grace Global Raffles Building, Singapore 048943 (hereinafter referred to as "CC") and <Clinic Name>, having a place of business at <Clinic Address> (hereinafter referred to as "CLINIC") (each individually referred to herein as a “Party” and collectively referred to as the “Parties”).

This agreement binds the CLINIC to only re-sell products purchased from CC via their place of business. The CLINIC hereby agrees to not re-sell products purchased from CC through any third party vendors, whether online or in physical outlets, apart from those agreed between CC and the Clinic listed in Schedule 1 of this agreement. The CLINIC also agrees to not knowingly sell products to or take a commission from an individual or company intending to sell the products on as a third party or through another party.

If the CLINIC is found to have sold any products from CC on to or via third party retailers the clinic will be required to pay CC the price originally paid for all products purchased within the previous twelve (12) months, from the date of discovery by CC, again and will cover any damages that can be calculated to the brand from the third party retailer.
